1. Operator and Agreement
These Terms of Use govern access to Botify Labs websites, platform dashboards, workspaces, widgets, APIs, and related services.
By creating an account, accepting an invitation, using a workspace, embedding a widget, or connecting an integration, you agree to these terms and any signed order form, license agreement, or service agreement that applies to your use.
2. Eligibility, Approval, and Access
Agency owner accounts are intended for businesses, organizations, and authorized representatives. Submitting a signup or access request does not guarantee approval.
Platform administrators may approve, reject, suspend, limit, or revoke access for security, billing, compliance, abuse prevention, operational, or legal reasons. You are responsible for all activity by users invited to your agency, workspace, or assistant.
3. White-Label Platform Responsibilities
Agencies are responsible for configuring client workspaces, assistants, knowledge sources, domains, channels, team access, billing plans, notifications, and customer communications under their own commercial model.
You must provide your clients and end users with appropriate notices, consents, policies, support paths, and service terms. Botify Labs is not responsible for promises, representations, or client agreements made by an agency or reseller.
4. Acceptable Use
You must not use the platform for unlawful, abusive, deceptive, harmful, infringing, spam, harassment, malware, credential misuse, scraping, unauthorized surveillance, security testing without permission, or activity that violates third-party service policies.
You must not use the platform to provide regulated professional advice, make automated eligibility decisions, process prohibited sensitive data, or send high-risk communications unless your deployment, legal basis, human review process, and required approvals are appropriate for that use.
5. AI Output and Human Review
AI-generated content, chat replies, summaries, reports, lead scoring, follow-ups, and recommendations may be inaccurate, incomplete, delayed, or unsuitable for a specific purpose.
You are responsible for reviewing important outputs before relying on them. The platform is not a substitute for legal, financial, medical, insurance, tax, compliance, or other regulated professional advice.
6. Third-Party Services and Connected Accounts
The platform may use or connect to third-party services for hosting, AI, email, payments, messaging, analytics, monitoring, and security.
Agency-owned AI accounts, payment accounts, sender domains, phone numbers, social accounts, and channel connections remain subject to the terms, limits, approvals, fees, usage policies, and account eligibility of those services.
7. Omnichannel and Social Messaging
Workspace channels such as WhatsApp, Telegram, Facebook Messenger, Instagram Messaging, and X Chat depend on connected account eligibility, service approval, availability, templates, messaging windows, rate limits, fees, and compliance with channel rules.
You are responsible for lawful consent to message end users and for all costs charged by connected accounts unless a signed agreement says otherwise.
8. Billing, Taxes, and Payment Providers
Platform billing, agency client billing, one-time license invoices, recurring infrastructure, add-ons, overages, manual payments, and payment links may be handled through configured billing workflows.
You are responsible for payment obligations, taxes, chargebacks, refunds, processing fees, and the accuracy of billing details for your agency and clients. Failed or overdue payments may result in suspension, limitation, or termination of access.
9. Data, Security, and Compliance
You must only upload, import, collect, and process data that you are authorized to use. You are responsible for client data, visitor notices, consents, retention decisions, and compliance obligations for your use case and jurisdiction.
The platform includes workspace isolation, role-based access, audit logs, compliance request workflows, encryption controls, and operational safeguards, but no system is perfectly secure and configuration remains your responsibility.
10. Intellectual Property and License Boundaries
Botify Labs and its licensors retain all rights in the platform, software, workflows, designs, documentation, infrastructure, and related intellectual property. Your license or access rights are limited to the rights expressly granted in your applicable agreement.
You retain responsibility for content, prompts, files, knowledge sources, brand assets, client data, and outputs you submit or configure, and you grant the rights needed to operate the platform for your account and workspaces.
11. Suspension, Termination, and Changes
Features, limits, pricing, integrations, service availability, policies, and these terms may change over time. Continued use after changes means you accept the updated terms.
Access may be suspended or terminated for non-payment, misuse, security risk, legal requirements, service restrictions, or violation of these terms. Some records may be retained where required for security, billing, audit, legal, or dispute purposes.
12. Warranties, Liability, and Indemnity
The platform is provided on an as-is and as-available basis to the fullest extent permitted by law. Botify Labs does not guarantee uninterrupted service, error-free operation, third-party service availability, specific commercial results, AI accuracy, or compliance outcomes.
To the fullest extent permitted by law, Botify Labs will not be liable for indirect, incidental, special, consequential, punitive, lost-profit, lost-data, third-party service, client, or end-user claims arising from your use of the platform. You agree to indemnify Botify Labs and Sooq Enterprise LLC for claims arising from your misuse, client services, data, integrations, or violation of these terms.
13. Governing Law and Contact
Unless a signed agreement states otherwise, these terms are governed by the laws applicable in the United Arab Emirates and the courts or competent authorities of the UAE will have jurisdiction where permitted by law.
